TERMS OF SERVICE

1. INTRODUCTION
Welcome to nibnab.vip (the "Service"), a platform owned and operated by nibnab, Inc., a Delaware corporation ("nibnab," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Service and constitute a binding legal agreement between you and nibnab.
By accessing or using the Service, or by clicking to accept or agree to these Terms when this option is made available to you, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. ELIGIBILITY
You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with all applicable laws and regulations.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Registration
To access certain features of the Service, you must register for an account. You may register using your Google account credentials ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for safeguarding your Account credentials and for all activities that occur under your Account. You agree to immediately notify nibnab of any unauthorized use of your Account or any other breach of security. nibnab will not be liable for any loss or damage arising from your failure to comply with this section.
3.3 Third-Party Platform Connections
The Service allows you to connect your Account to various third-party platforms, including but not limited to YouTube (collectively, "Third-Party Platforms"). By connecting your Account to any Third-Party Platform, you authorize nibnab to access and use your Third-Party Platform account information in accordance with the authorization procedures determined by the Third-Party Platform. You represent and warrant that you are entitled to grant nibnab access to your Third-Party Platform account without violating any terms of service or other legal obligation and without requiring nibnab to pay any fees or be subject to any usage limitations imposed by such Third-Party Platforms.
4. DESCRIPTION OF SERVICE
4.1 Service Overview
nibnab provides a platform that allows users to:
- Sign in using their Google account;
- Link accounts on media platforms (currently YouTube, with potential expansion to other platforms);
- Select content from linked accounts (currently YouTube videos);
- Receive analysis and insights from comments on selected content, including but not limited to potential sponsorship opportunities, job offers, collaborations, growth strategies, reported errors, popular topics, and common questions; and
- Interact with an AI assistant to further explore and analyze comments.
4.2 Service Plans
The Service is available in multiple plans, including free and paid subscription options. The specific features, usage limits, and other benefits of each plan are described on the nibnab.vip website. nibnab reserves the right to modify the offerings and features available in each plan at any time.
4.3 Future Features
nibnab may introduce additional features in the future, including but not limited to:
- Functionality that enables mass replies and other actions on connected platforms on your behalf; and
- Other features and improvements to enhance the Service.
4.4 Analytics
The Service incorporates various analytics tools, including but not limited to Google Analytics, Facebook Pixel, and PostHog, to collect information about user behavior and Service usage.
4.5 Modifications to the Service
nibnab reserves the right to modify or discontinue, temporarily or permanently, the Service or any features or portions thereof without prior notice. You agree that nibnab will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service or any part thereof.
5. USER CONTENT
5.1 Definition
"User Content" means any content that you submit, post, upload, or otherwise make available through the Service, including but not limited to information from your Third-Party Platform accounts, comments, and interactions with the AI assistant.
5.2 License to User Content
By submitting User Content to the Service, you grant nibnab a worldwide, non-exclusive, royalty- free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with operating and providing the Service.
5.3 User Content Representations and Warranties
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that:
- You own or have the necessary rights, licenses, consents, and permissions to use and authorize nibnab to use all intellectual property rights in and to any User Content; and
- The User Content does not violate these Terms or any applicable law or regulation.
5.4 nibnab's Right to Remove User Content
nibnab has the right, but not the obligation, to monitor, edit, or remove any User Content that violates these Terms or that nibnab, in its sole discretion, finds objectionable or in violation of these Terms.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 nibnab Intellectual Property
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of nibnab and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of nibnab.
6.2 Feedback
If you provide nibnab with any feedback or suggestions regarding the Service ("Feedback"), you hereby assign to nibnab all rights in such Feedback and agree that nibnab shall have the right to use and fully exploit such Feedback in any manner it deems appropriate. nibnab will treat any Feedback you provide as non-confidential and non-proprietary.
7. THIRD-PARTY PLATFORMS AND CONTENT
7.1 Third-Party Platforms
The Service may contain links to or integrations with third-party websites, services, or resources. nibnab is not responsible for the content, products, or services on or available from those websites, services, or resources, or for any content displayed or linked to from the Service. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites, services, or resources.
7.2 Third-Party Platform Terms
Your use of Third-Party Platforms is governed by the respective terms of service and privacy policies of those platforms. It is your responsibility to review and comply with such terms. nibnab does not assume any responsibility for the actions, products, services, or content of any Third-Party Platforms.
7.3 API Usage
The Service connects to Third-Party Platform APIs. nibnab does not guarantee the continued availability or functionality of these APIs and will not be liable for any changes, interruptions, or discontinuations of these APIs or any resulting impacts on the Service.
8. PROHIBITED CONDUCT
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law;
- Violate or encourage others to violate the rights of third parties, including intellectual property rights;
- Post, upload, or distribute any User Content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate;
- Interfere with security features of the Service, including by: (a) disabling or circumventing features that prevent or limit use or copying of content; or (b) reverse engineering or otherwise attempting to discover the source code of the Service or any part thereof except to the extent that such activity is expressly permitted by applicable law;
- Interfere with the operation of the Service or any user's enjoyment of the Service, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code, or interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
- Perform any fraudulent activity, including impersonating any person or entity, claiming a false affiliation, accessing any other Account without permission, or falsifying your identity or any information about you;
- Sell or otherwise transfer your Account or any personal information and materials associated with your Account;
- Attempt to circumvent any technological measure implemented by nibnab or any other third party to protect the Service;
- Attempt to access, scrape, or crawl the Service or any content thereon using any robot, spider, scraper, or other automated means;
- Decompile, disassemble, or otherwise reverse engineer the Service, or attempt to derive any source code or underlying ideas or algorithms of any part of the Service; or
- Use the Service in any manner that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
9. PRIVACY
Your privacy is important to us. Please review our Privacy Policy for information about how we collect, use, and disclose information about you. The Privacy Policy is incorporated by reference into these Terms.
10. DATA RIGHTS AND USAGE
10.1 Analytics Data
You acknowledge that nibnab collects and processes analytics data regarding your use of the Service, including through third-party analytics providers such as Google Analytics, Facebook Pixel, and PostHog. This data is used to improve the Service, understand user behavior, and for marketing purposes.
10.2 AI Training and Improvement
You grant nibnab the right to use anonymized data derived from your User Content to train, tune, and improve our AI models and systems. This includes using patterns and insights from comments and interactions to enhance our AI capabilities, provided that such usage does not personally identify you.
11. COMMUNICATIONS
11.1 Electronic Communications
By using the Service, you consent to receive communications from nibnab electronically, including emails, text messages, and postings on the Service, and you agree that all agreements, notices, disclosures, and other communications that nibnab provides to you electronically satisfy any legal requirement that such communications be in writing.
11.2 Promotional Communications
You consent to receive promotional communications from nibnab. You may opt out of receiving promotional communications by following the unsubscribe instructions provided in any such communication or by contacting us at info@nibnab.ai.
12. SUBSCRIPTION TERMS AND BILLING
12.1 Subscription Plans
nibnab offers various subscription plans, including both free and paid options. By selecting a paid subscription plan, you agree to pay the subscription fees indicated for that plan. All payments are due in advance of the applicable subscription period.
12.2 Payment Methods
You must provide nibnab with a valid payment method for paying subscription fees. You authorize nibnab to charge your payment method for all fees incurred in connection with your Account. If your payment cannot be completed, we may suspend or terminate your access to paid features.
12.3 Subscription Renewals and Cancellations
Unless you cancel your subscription before the end of the current subscription period, your subscription will automatically renew, and you authorize nibnab to charge the then-current fee to your payment method. You may cancel your subscription at any time through your Account settings or by contacting us at info@nibnab.ai. Cancellation will be effective at the end of your current billing period, and you will not receive a refund or credit for any fees already incurred.
12.4 Refund Policy
All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. In exceptional circumstances, nibnab may, at its sole discretion, offer a full or partial refund.
12.5 Price Changes
nibnab reserves the right to change the fees for any subscription plan at any time. If nibnab changes the fees for your subscription plan, nibnab will notify you in advance, and the new fees will take effect at the start of your next billing period. If you do not agree to the fee change, you may cancel your subscription before the new fees take effect.
13. TERMINATION
13.1 Termination by You
You may terminate your Account at any time by following the instructions on the Service or by contacting us at info@nibnab.ai. Upon termination, you will no longer have access to your Account or any content or data associated with your Account.
13.2 Termination by nibnab
nibnab reserves the right to suspend or terminate your access to the Service, in whole or in part, at any time and for any reason without notice or liability, including if nibnab believes that you have violated these Terms. Upon termination, your right to use the Service will immediately cease.
13.3 Effect of Termination
Any termination of your Account, whether initiated by you or by nibnab, will not relieve you of any obligations that accrued prior to the effective date of such termination, including any outstanding subscription fees. Upon termination, nibnab may delete any content or data that you have submitted to the Service.
14. DISCLAIMERS
14.1 THE SERVICE AND ALL CONTENT AND INFORMATION AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14.2 NIBNAB DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14.3 NIBNAB MAKES NO GUARANTEES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT AVAILABLE THROUGH THE SERVICE, INCLUDING ANY INSIGHTS, ANALYSIS, OR RECOMMENDATIONS PROVIDED BY THE SERVICE.
14.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
15. LIMITATION OF LIABILITY
15.1 IN NO EVENT WILL NIBNAB, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
15.2 THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
15.3 IN NO EVENT SHALL NIBNAB'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO NIBNAB FOR ACCESS TO THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless nibnab, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, your use of any information obtained from the Service, and any use of the Service's content, services, and products other than as expressly authorized in these Terms.
17. GOVERNING LAW AND DISPUTE RESOLUTION
17.1 Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law.
17.2 Dispute Resolution
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by binding arbitration in Wilmington, Delaware, using the English language in accordance with the Arbitration Rules and Procedures of JAMS then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. The prevailing party in any arbitration or other proceeding arising under these Terms shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys' fees, expert witness fees, and all other expenses) incurred in connection therewith.
17.3 Class Action Waiver
ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT A CLASS, CONSOLIDATED, OR REPRESENTATIVE BASIS. NO ARBITRATION WILL BE JOINED TO ANY OTHER ARBITRATION, AND THE ARBITRATOR MAY NOT CONSOLIDATE ANY INDIVIDUAL PARTY'S DISPUTE WITH ANY OTHER PARTY'S DISPUTE.
17.4 Exceptions
Notwithstanding the foregoing, you agree that nibnab may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.
18. GENERAL PROVISIONS
18.1 Entire Agreement
These Terms constitute the entire agreement between you and nibnab regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral, regarding the subject matter of these Terms.
18.2 Waiver
No waiver by nibnab of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of nibnab to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
18.3 Severability
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
18.4 Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without the prior written consent of nibnab, but may be assigned by nibnab without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
18.5 Force Majeure
nibnab shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials.
18.6 Export Control
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State.

19. CHANGES TO TERMS
nibnab reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
20. ACKNOWLEDGMENT
BY USING THE SERVICE OR OTHERWISE ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEIR TERMS AND CONDITIONS.
